Zuza Personal Dating BV General Terms and Conditions

Welcome to Zuza Personal Dating! We recommend that you read these Terms and Conditions carefully so that you know exactly what your rights and obligations are. In this document, you are referred to as the “Single” and we as “Zuza Personal Dating B.V.” (or 'Zuza' for short). Because we believe that love is for everyone, this document is gender-neutral as much as possible.
Article 1. Definitions
- In these General Terms and Conditions, the following terms marked in capital letters always have the following meaning:
- Zuza: the private company Zuza Personal Dating B.V., with its registered office in (1066 EP) Amsterdam at John M. Keynesplein 12;
- General Terms and Conditions: these Zuza general terms and conditions.
- Dating Guides: the external dating coaches hired by Zuza;
- Third parties: third parties that are not part of this Agreement, including the Dating Guides.
- Service: the matchmaking and guidance services provided by Zuza (whether or not via her Dating Guides), including taking intakes, setting up profiles and monitoring progress.
House rules: the Zuza rules that include the user guidelines. These rules apply to all Services that Zuza provides and are an integral part of these Terms and Conditions. Available at: https://www.zuza.nl/spelregels
Intellectual Property Rights: all intellectual property rights such as copyrights, trademark rights, patent rights, trade name rights, database rights and related rights, as well as related rights such as know-how rights and domain names;
- Single: you, the natural person who uses Zuza's Services and thus enters into the Agreement.
- Agreement: any agreement, agreement or legal relationship between Zuza and the Single, including in any case expressly including registration and registration (free of charge or otherwise) with Zuza, as well as any additional agreement to order paid Services (such as intake and monitoring).
- Party (s): Zuza and/or Single.
Article 2. Applicability and Changes
- These Terms and Conditions apply to every offer made by Zuza and to every Agreement (including registration on the platform) between Zuza and the Single.
- Deviations from or additions to these General Terms and Conditions are only valid if agreed in advance in writing (or by e-mail) between Zuza and the Single.
- When Zuza engages Third Parties to (partially) perform the Services, such as the independent Dating Guides, these Terms and Conditions apply in full to the performance of the Services by these Third Parties.
- Zuza is entitled to change or supplement these General Terms and Conditions at any time. Substantive changes will be announced to the Single at least one (1) month before the entry into force via the website and/or by e-mail.
- If the Single does not want to accept a substantive change to the Terms and Conditions, the Single has the right to terminate the Agreement (the profile) free of charge by the date on which the amended terms take effect. If the Single continues to use the Services after the effective date, the Single will be deemed to have accepted the amended terms.
Article 3. Conclusion of the Agreement
- Registration: The Agreement is concluded when the Single registers (free of charge or otherwise) digitally via Zuza's platform, or places an order for a paid Service (such as an intake interview), and Zuza has confirmed this registration or booking by email.
- Offer and prices: The range of Services, including the associated rates and specifications, is clearly stated on Zuza's website. Obvious mistakes or obvious errors in the offer (such as an unrealistic typo in a price) are not binding on Zuza.
- Right to refuse: Zuza reserves the right to refuse or cancel a registration or booking (prior to the provision of the Service) without giving reasons. This may be the case, for example, if Zuza suspects that the Single does not meet the entry requirements (as referred to in Article 5), or if the capacity of the Dating Guides is full. If Zuza refuses an intake that has already been paid, the full purchase amount will be refunded immediately.
Article 4. The Service
- Zuza always provides its Services on the basis of an obligation to do its best. Although we do our utmost, Zuza emphatically does not guarantee finding a partner, a relationship or the success of a date.
- Zuza will execute the Agreement to the best of its knowledge and ability and in accordance with the requirements placed on a professional party. If and insofar as the proper execution of the Agreement requires, Zuza has the right to have certain activities carried out by Third Parties, at Zuza's discretion.
- Only when explicitly stated in writing in the Agreement does an agreed period count as a deadline. In all other cases, an agreed period is indicative.
Article 5. Single obligations
- The Single undertakes to provide Zuza with all necessary information and cooperation that Zuza needs to provide the Services. Zuza may suspend work as long as Single does not comply with the obligation in this provision. Zuza is never liable for any damage and/or delay caused by failure to comply with the information and cooperation obligations referred to in this article, or failure to comply with the information and cooperation obligations referred to in this article.
- The Single guarantees to be at least 18 years old, sincerely looking for a lasting relationship and actually being unmarried/single.
- The Single must comply with the Rules of the Game, which include:
- The Single must behave respectfully towards the Dating Guides, staff and other Singles and that;
- Aggression, (sexual) harassment, deception or other transgressive behavior is not tolerated.
- Article 6. Termination, Right of Withdrawal and Cancellation
- Termination by Single: The Agreement is entered into for an indefinite period. The Single can terminate the Agreement with immediate effect at any time, unless the Single has subscribed, then a notice period of one month in accordance with Article 8.3 applies. Services that have already been paid and/or provided will not be refunded in the event of an early termination.
- Termination by Zuza: Zuza has the right to terminate the Agreement in writing or by e-mail at any time with fourteen (14) days' notice, or with immediate effect if the Single acts in violation of the House Rules (as referred to in Article 5).
- Cancelling the Intake: Zuza specifically reserves time and capacity (a Dating Guide) for the intake interview with the Single. The following conditions apply to changing or cancelling a scheduled intake:
- Up to 48 hours before the start: The Single can cancel or reschedule the appointment free of charge. In case of cancellation, Zuza will refund the full amount of the intake.
- Tus48 and 24 hours before the start: The Single can reschedule the appointment to a new time free of charge. In case of complete cancellation within this period, Zuza charges €15, - in administrative costs, which will be deducted from the amount to be refunded.
- Between 24 and 4 hours before the start: The Single can reschedule the appointment free of charge for the first time. If you reschedule a second time within this period, an administrative fee of €30 will be charged. Cancelling with a refund is no longer possible within this period.
- Less than 4 hours before the start (or no-show): In the event of a change or cancellation less than 4 hours before the appointment, or if the Single does not appear, any right to a refund or reschedule free of charge expires. For a new appointment, the Single must book and pay for a new intake.
- Right of withdrawal: If the Single has successfully completed the intake, the Service is fully provided for that specific part and the legal right of withdrawal expires now that the Single has explicitly agreed to the immediate start of the Service when scheduling.
- Refund: After completing the intake and creating the profile, in principle, no refund will be made, unless there is a situation as described in Article 3.3. However, if the Single is dissatisfied with the profile created, Zuza will endeavor to reach a reasonable and appropriate solution in consultation with the Single (for example, by reviewing the profile free of charge).
Article 7. Compensation, Payment and Price Changes
- All amounts mentioned on the website or in an offer are in Euros and include VAT, unless otherwise stated.
- Payment for the Service (such as the intake) must be made prior to scheduling the appointment via the online payment methods offered on the platform.
- Zuza only permanently schedules the Dating Guide appointment after full payment has been successfully received.
- Price changes for one-off services: Zuza is entitled to change its rates for new services or intakes at any time. Changed rates explicitly have no influence on intakes that have already been booked and paid.
- Continuous service price changes: If Zuza increases the rates for any ongoing or subscription-based Services, Zuza will notify the Single by email at least one (1) month prior to the effective date. In that case, the Single has the right to terminate the Agreement free of charge by the date on which the price increase takes effect.
Article 8. Trial period, Monthly subscription and Direct Debit
- Conversion to a monthly subscription: If the Single receives a free trial period on the platform after the paid intake, the duration of this will be explicitly stated in the offer. Unless the Single cancels no later than the last day of this trial period, the account will then automatically be converted into an ongoing paid subscription for an indefinite period, at the applicable fixed monthly rate.
- Ongoing authorization: By paying for the intake and agreeing to these Terms and Conditions, the Single gives Zuza explicit permission (a continuous SEPA authorization) to automatically debit the future monthly subscription costs via the specified payment method.
- Cancelling a subscription: The Single can cancel the monthly subscription at any time. This includes a notice period of one (1) month, commencing on the day of the cancellation.
- Cancellation and blockade: If a direct debit fails or is wrongly canceled (reversed) by the Single, Zuza is entitled to pause or block the dating profile immediately until payment has been made. The payment obligation for the services already enjoyed remains in place.
Article 9. Intellectual Property Rights
- Images provided: All Intellectual Property Rights that rest on photos, information or materials that the Single provides to Zuza remain with the Single at all times. The Single grants Zuza a limited, non-exclusive license to use these photos and materials specifically and solely for the performance of the Service. This only includes sending match proposals and showing photos to other registered singles within Zuza's private area. Zuza will never use the photos provided without explicit prior permission for external marketing or promotional purposes.
- Profile text ownership: The Intellectual Property (including copyright) to the specific, personal profile text created by Zuza or her Dating Guides for the Single is transferred by Zuza to the Single once the Single has fully fulfilled his or her payment obligation for the Intake/Service. The Single is then free to use this profile text for their own purposes (including outside Zuza's services).
- Zuza's rights: All other Intellectual Property Rights relating to Zuza's platform, working method, brand name, logos and (online) systems remain at all times exclusively owned by Zuza Personal Dating B.V.
Article 10. Liability
- The execution of the Agreement takes place exclusively for the benefit of the Single. All orders are accepted and executed exclusively by Zuza or a Third Party engaged by Zuza.
- Any liability claims resulting from a violation of these Terms and Conditions and/or applicable law can only be brought against Zuza and expressly not against its management, employees or Third Parties engaged by it, such as the independent Dating Guides. The Single indemnifies these Third Parties against any claims.
- Zuza is never liable for indirect damage, consequential damage, loss of joie de vivre, emotional damage or immaterial damage resulting from dates, meetings or relationships that have arisen through the Service.
- To the extent that Zuza is legally liable for any direct damage, such liability is at all times limited to the amount that the Single paid Zuza for the specific Service in the twelve (12) months prior to the event causing the damage.
- Cybersecurity and Data Breaches: Zuza makes every effort to protect its (IT) systems, platform and personal data of the Single against unauthorized access, hacks and data breaches, in accordance with applicable industry standards. However, given the nature of the internet, Zuza cannot provide an absolute security guarantee. Zuza is never liable for any (immaterial or indirect) damage suffered by the Single as a result of a cyber attack, hack or data breach by an external party, unless there is intent or deliberate recklessness on the part of Zuza in its security obligations.
Article 11. Safety
- Dating comes with personal risks. The Single is aware of this and accepts that participating in Zuza's services and entering into (personal) contact with other Singles is entirely at your own risk.
- Zuza brings Singles into contact with each other based on personal guidance and careful matching. However, Zuza does not perform identity verification or background checks on its members. Zuza can therefore not guarantee the accuracy, completeness or reliability of the information that singles provide about themselves.
Article 12. Privacy and Personal Data
- Because dating is about highly personal information, Zuza takes the Single's privacy extremely seriously. Zuza processes all (special) personal data strictly in accordance with the General Data Protection Regulation (AVG).
- Exactly how we handle this sensitive data, who we (do not) share it with, how we protect it and what rights the Single has is set out in detail in our Privacy Policy. This policy can be viewed at any time on our website and via: https://www.zuza.nl/legal/privacy-statement
Article 13. Miscellaneous
- Personal profile: A dating profile is strictly personal. Therefore, the Single is not allowed to transfer his or her rights, obligations, or account under this Agreement to another person.
- Zuza company takeover: Zuza has the right to transfer its business, including the rights and obligations under this Agreement and the customer base, to a third party (for example, in the event of a merger or acquisition). The Single agrees to this in advance, under the strict condition that the recipient guarantees privacy at least the same level as Zuza. We will always inform the Single about this in a timely manner. If the Single does not agree with the transfer, he/she has the right to terminate the Agreement and have the profile removed before the transfer takes place.
- Validity: If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Zuza will replace the invalid provision with a new, valid provision that is as close as possible to the original intention.
- Applicable law and judge: This Agreement is governed exclusively by Dutch law. Will we really not work it out in the event of a dispute together? Then we will submit this to the competent court in Amsterdam in the first instance. However, because the Single is a consumer, after a written appeal to this provision by Zuza, the Single has one (1) month legally to still choose the competent court in his or her own place of residence.
